1. Purpose
GAIA SUITE is a professional software solution accessible remotely. Any subscription to our services implies acceptance of these GTCS.
2. Access to the solution
Access to GAIA SUITE is secured by personal login credentials provided to the client. The client is responsible for their confidentiality and use.
3. Included services
The subscription includes:
- Access to the solution
- Onboarding assistance
- Maintenance (preventive and corrective)
- Regular data backups
4. Additional services
Custom developments or additional services may be offered and will be subject to a separate quote.
5. Pricing
Pricing consists of:
- An installation fee
- A monthly or annual usage fee, including fixed and variable charges based on usage
6. Billing and payment
Services are invoiced at the agreed frequency. Payment is due upon receipt of the invoice. In case of delay, penalties may apply.
7. Responsibilities
The client agrees to use the solution in accordance with the documentation and the defined technical requirements.
The provider agrees to ensure the availability, security, and ongoing development of the solution.
8. Acceptable use
The client agrees to use GAIA SUITE only for lawful purposes, and in compliance with the agreements and policies of the sales channels connected to the solution.
The client must not use GAIA SUITE to:
- carry out brushing, meaning sending unsolicited products to generate fake reviews, or any other manipulation of reviews or ratings;
- list, sell, or promote products that infringe intellectual property rights, including counterfeit products;
- violate, or help others violate, their agreements with connected sales channels;
- use data obtained from connected sales channels for any purpose other than the operation of their own sales.
The client is responsible for holding all necessary rights to the products, content, and brands they list through GAIA SUITE.
In the event of a breach of this section, GAIA SUITE may suspend or terminate the client's access to the solution, without prejudice to any other remedy.
9. Intellectual property
The client is granted a limited, personal, and non-transferable right of use.
10. Data protection
GAIA SUITE complies with European regulations on personal data (GDPR).

11. Termination
The contract may be terminated at the end of the term or in the event of breach. At the end of the contract, the client’s data will be returned in a standard readable format.
12. Limitation of liability
The provider’s liability is limited to the amount received under the terms of the contract.
13. Governing law
These GTCS are governed by French law. In case of dispute, the competent courts shall be those under the jurisdiction of the Paris Court of Appeal.
